Terms of Service

1. Acceptance of Terms

By accessing or using Dave.contractors ("Service", "we", "us", or "our"), operated by Dave.contractors ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Dave.contractors provides an AI-powered virtual office manager for contracting businesses, including answering inbound calls, sending text and email replies, scheduling jobs, requesting customer reviews, and related communication automation features.

3. Account Registration

To use the Service you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Subscription, Billing, and Refunds

The Service is billed on a recurring subscription basis. By subscribing, you authorize us to charge your payment method on each billing cycle until you cancel. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Send spam, unsolicited messages, or content that violates TCPA, CAN-SPAM, or similar laws.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Attempt to gain unauthorized access to any part of the Service.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

6. Telephony, SMS, and Call Recording

You acknowledge that the Service may answer calls, send and receive SMS messages, and record calls on your behalf. You are solely responsible for ensuring compliance with all applicable consent and disclosure laws in your jurisdiction, including two-party consent for call recording where required. You authorize us to provision phone numbers and route communications on your behalf via our telecommunications providers.

7. Customer Data and Privacy

You retain ownership of all data submitted to the Service ("Customer Data"). You grant us a worldwide, non-exclusive license to use, host, store, and process Customer Data solely as necessary to provide the Service. Our handling of personal data is governed by our Privacy Policy.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by the Company and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Third-Party Services

The Service integrates with third-party providers including Twilio, ElevenLabs, Google, and Stripe. Your use of those features is also subject to those providers' terms. We are not responsible for the availability or content of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
